All products provided by ENZA are intended solely for in vitro research purposes and are not intended for:
By purchasing or using ENZA products, the buyer acknowledges and agrees that the products are intended for RESEARCH USE ONLY.
“ENZA” refers to ENZA Labs and its affiliates.
“Products” means any and all goods ordered from ENZA.
“Purchaser” means the individual or entity that orders and/or receives Products from ENZA.
“RUO” means Research Use Only.
ENZA provides Purchaser with a non-transferable, non-exclusive license to use the purchased Products solely for internal research purposes. No rights are granted for use of Products for Commercial Purposes. Purchaser agrees that it will not use the Products for any Commercial Purposes.
“Commercial Purposes” means any activity for consideration, including but not limited to: (a) use of the Products in manufacturing; (b) use of the Products to provide a service, information, or data; (c) use of the Products for diagnostic purposes; (d) resale of the Products, whether or not such Products are resold for use in research.
Products are not intended, tested, validated, or authorized for:
Purchase of the Products conveys to Purchaser only the non-transferable right to use the Products purchased and the components of the Products in research conducted by the Purchaser. Purchase of the Products does not imply any licenses to use, distribute, or otherwise practice the Products beyond the specific license granted herein.
ENZA warrants that its Products will meet the specifications stated in the applicable product documentation for a period of 30 days from the date of shipment. If any Product fails to meet such specifications during this warranty period, ENZA will, at its option, replace the Product or provide the Purchaser with a credit.
EXCEPT FOR THE WARRANTY SET FORTH ABOVE, ENZA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PRODUCTS, AND SPECIFICALLY DISCLAIMS ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS.
ENZA conducts rigorous testing to ensure lot-to-lot consistency between manufacturing batches. Consistency data is available upon request by contacting support@enza.com.
IN NO EVENT SHALL ENZA BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH OR ARISING OUT OF THE PURCHASE OR USE OF THESE PRODUCTS (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL).
